  • Aggregate merger consideration of $434 million based on an Independent Bank Group, Inc. (“IBTX”) negotiated price of $47.40 per share
  • Based on an IBTX closing stock price of $53.95 per share on November 18, 2016, IBTX will issue approximately 8.9 million shares of stock to Carlile Bancshares (“Carlile”) common stock holders and will pay approximately $13.7 million in cash to Carlile option holders
  • Carlile is permitted to pay a pre-closing cash distribution to its shareholders in an aggregate amount of up to $55.25 million
